Terms of Service

Effective date: August 17, 2026 · These Terms also serve as the End User License Agreement (EULA) for the ProfitReps app

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and ProfitReps ("we", "us", or "our") governing your use of the ProfitReps mobile application (the "App") and this website (the "Website", and together with the App, the "Services"). By downloading, installing, or using the App, or by using the Website, you agree to these Terms. If you do not agree, do not use the Services.

If you use the App on an Apple-branded device, you acknowledge that these Terms are concluded between you and ProfitReps only — not with Apple Inc. ("Apple") — and that ProfitReps, not Apple, is solely responsible for the App and its content. See Section 12 for additional Apple-specific terms.

2. What ProfitReps is

ProfitReps is a training app for numerical fluency: mental math, estimation, business interpretation, and decision-making practice. The App works fully offline, requires no account, and stores all progress on your device. Our Privacy Policy describes our data practices (in short: we collect nothing).

3. License

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial use on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing where available.

4. Restrictions

You may not, except as permitted by applicable law or by these Terms:

Copy, modify, adapt, translate, or create derivative works of the App;
Reverse engineer, decompile, or disassemble the App, except to the extent such restriction is prohibited by applicable law;
Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the App to any third party;
Remove or alter any proprietary notices in the App;
Use the App for any unlawful purpose or in violation of any applicable law or regulation.

5. Educational content — not professional advice

Important: ProfitReps is a training and educational tool. Nothing in the App constitutes financial, investment, accounting, tax, legal, or other professional advice.

The App's questions, scenarios, simulations (including the business simulator), scores, and feedback are generated for practice purposes only. They are simplified models that deliberately omit real-world complexity. You should not make actual business, financial, or investment decisions based on the App's content, and you should consult a qualified professional before making any such decisions. Your "Number Score" and other in-app metrics are for motivation and self-tracking only; they are not a certification, credential, or assessment of professional competence.

6. Your data and progress

All App data (progress, scores, streaks, settings) is stored only on your device. We do not maintain servers or backups and cannot restore progress that is lost — for example, if you delete the App or lose your device. You are responsible for your device backups (such as through your device's operating-system backup features).

7. Intellectual property

The App and Website — including all software, question templates, text, designs, graphics, logos, and other content — are owned by ProfitReps or its licensors and are protected by copyright, trademark, and other intellectual-property laws. Except for the limited license in Section 3, no rights are granted to you. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, ProfitReps, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.

8. Updates and changes to the App

We may release updates, add or remove features, or discontinue the App at any time. Because the App runs entirely on your device, discontinuation would not delete your local data, but future operating-system versions might not be supported. We are not obligated to provide maintenance or support, though we do our best to help — see our Support page.

9. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT (INCLUDING QUESTIONS, ANSWERS, AND SIMULATIONS) IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROFITREPS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY U.S. DOLLARS (US $50), WHICHEVER IS GREATER. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Termination

These Terms are effective until terminated. Your rights under these Terms will terminate automatically if you fail to comply with them. Upon termination, you must cease all use of the App and delete all copies. You may terminate these Terms at any time by deleting the App. Sections 5, 7, 9, 10, 13, and 14 survive termination.

12. Apple-specific terms

The following terms apply when you use the App on an Apple-branded device and are required by Apple:

Acknowledgement. These Terms are concluded between you and ProfitReps only, not with Apple. ProfitReps, not Apple, is solely responsible for the App and its content.
Scope of license. The license granted to you is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
Maintenance and support. ProfitReps, not Apple, is solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
Warranty. ProfitReps is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
Product claims. ProfitReps, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
Developer contact. Questions, complaints, or claims with respect to the App should be directed to ProfitReps at leolin1242@gmail.com.
Third-party terms. You must comply with applicable third-party terms of agreement when using the App.
Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

13. Governing law

These Terms and any dispute arising out of them are governed by the laws of the jurisdiction in which ProfitReps is established, without regard to conflict-of-law principles — except that if you are a consumer, you retain the benefit of any mandatory consumer-protection provisions of the law of the country in which you reside.

14. General

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and ProfitReps regarding the Services.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where reasonably possible, provide notice (for example, in App release notes). Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
